Who these terms are between#
These terms are between you and the Wyoming limited liability company through which Saif Pasha offers his services, called "I", "me" and "my" below. They cover your use of saifpasha.com (the "site") and any work you engage me for. If you don't agree with them, please don't use the site or engage my services.
If you use the site or engage my services on behalf of a company, you confirm you have the authority to bind that company to these terms.
Using the site#
The site is here to tell you what I do, to publish my writing and to let you get in touch about a project. You may use it for those purposes. You may not copy, republish or commercially exploit its content without my written permission, though short quotations with a credit and a link are welcome.
You agree not to use the site in ways that break the law, introduce malware, try to get into systems you aren't authorised to reach, scrape it for commercial use, impersonate me or my team, or stop other people using it.
Intellectual property#
The text, graphics, code samples and other material on the site belong to me or to the people who licensed them to me, and are protected by copyright.
When you send me a brief, a repo, a link or other material, you keep ownership of it. You give me a limited right to read and use it only to reply to you and to scope or deliver the work you asked for. I don't use anything you send me in marketing without your explicit permission.
On projects, the code and all rights in what I deliver become yours when the final payment clears, unless a written agreement says otherwise. On retainers, ownership is agreed in the retainer terms before the work starts.
Scope and deliverables#
Project work is governed by a written agreement that sets out the scope, milestones, deliverables, timeline and payment terms. Work begins once that agreement is signed. Calls, emails and messages about a possible project don't form a binding agreement on their own.
I deliver against the agreed milestones, and anything the milestones don't include is out of scope. Each milestone has a review period, and a milestone is accepted once that period closes without a written objection. The project is complete once every milestone is accepted.
Where you provide designs or specifications, I may make adjustments needed to build them, while keeping to what the original design intended.
Changes and extra work#
New features or scope beyond the agreement need a separate written agreement with its own timeline and cost. Changes to accepted milestones must be asked for in writing and may cost extra or move the timeline.
Feedback#
Projects keep their schedule when feedback arrives inside the review periods in the agreement. Late feedback may extend the timeline or add cost. Once you approve a design in writing, the build starts from it, and design changes after that approval are out of scope.
Warranty and maintenance#
Every project comes with a one-month warranty after final delivery, covering defects within the agreed scope.
The warranty doesn't cover maintenance, such as changes caused by third-party platform updates, API changes, dependency changes or changes to the environment the software runs in after delivery. Ongoing maintenance is available under a separate agreement.
Confidentiality#
Both of us will treat information shared during an engagement as confidential and won't disclose it to anyone else without written consent, except where the law requires it. This lasts for one year after the project is complete.
Ending an engagement#
Either of us may end an engagement with written notice if the other seriously breaches the agreement. If you end it because of my breach, you don't pay for unfinished work and I refund anything paid for work not delivered. If I end it because of your breach, you pay for the work completed up to that date.
Either of us may step away from a conversation about a possible project at any time before an agreement is signed, with no obligation.
Disclaimers#
The site is provided as it is and as available. I don't promise the information on it is complete or always current, that it will always be up, or that it is free of errors.
Software, AI systems and automations I build are made for the use agreed in writing. I don't promise they will do more than that agreement describes, work with every future third-party platform, or run without errors forever after delivery.
Limitation of liability#
As far as the law allows, I am not liable for indirect, incidental, special, consequential or punitive damages arising from your use of the site or my services, including lost profits, lost data, business interruption or lost opportunities.
My total liability for any claim about a project is limited to what you paid me for that project in the twelve months before the claim. Some places don't allow these limits, so they may not apply to you in full.
Indemnity#
You agree to indemnify me against claims, damages and costs arising from your use of what I deliver, or from content, material or data you provide for a project. I agree to indemnify you against claims that work I deliver infringes someone else's intellectual property.
My team and subcontractors#
I may bring in my team and qualified subcontractors to help with project work. I stay fully responsible for the quality and delivery of all of it, and I'll tell you about any material subcontracting arrangement.
Events outside anyone's control#
Neither of us is liable for delays or failures caused by events beyond reasonable control, such as natural disasters, government action or internet and infrastructure outages. Whoever is affected will tell the other promptly and do what they reasonably can to limit the impact.
Links to other sites#
The site links to other sites, tools and services. I don't control them and I'm not responsible for their content, privacy practices or terms.
Governing law#
These terms are governed by the laws of the State of Wyoming, without regard to its conflict of law rules. Any legal action about these terms or the site must be brought in the courts of Wyoming.
If part of these terms fails#
If a court finds any part of these terms unenforceable, the rest stays in force.
Changes to these terms#
I may update these terms from time to time. When I make a material change, I update the date at the top of this page. Using the site after a change means you accept the updated terms.
